Terms of Service — Version 1

Last updated: July 17, 2026

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between Polywei Corp., a Delaware corporation ("Polywei", "we", "us"), and the individual or organization accessing or using the Polywei platform, including polywei.com, its subdomains (such as nycv.polywei.com), the downloadable, self-hosted, and enterprise editions of the software, the APIs, and related services (collectively, the "Service"). By creating an account, accessing a workspace, installing or running any edition of the software, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

Polywei provides proprietary data aggregation, integration, analytics, automation, and application-building software, including its entity-synchronization and trust-graph engine, source adapters, compliance and violation-monitoring modules (such as the NYC Lite product at nycv.polywei.com), APIs, and user interfaces. The Service connects to data sources you authorize, organizes that data in a workspace, and produces metrics, insights, notifications, and reports derived from it. Polywei may add, change, or remove features, modules, and data sources at any time.

3. Accounts and Workspaces

You are responsible for the accuracy of the information associated with your account, for maintaining the security of your sign-in methods, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. Workspace owners and administrators control member access and are responsible for the access they grant.

4. Ownership of the Service; Intellectual Property

The Service is licensed, not sold. As between the parties, Polywei and its licensors own and retain all right, title, and interest in and to the Service and every component of it, including without limitation: all software, source code, object code, and executables; the WeiGraph entity-synchronization, trust-graph, and scoring engines; algorithms, models, heuristics, and scoring logic; source adapters and integrations; data schemas, database designs, and data models; system architecture, schematics, diagrams, flowcharts, and design documents; user interfaces, visual designs, and layouts; APIs and API contracts; documentation, specifications, and know-how; trademarks, service marks, trade names, logos, and trade dress; and all patents, copyrights, trade secrets, and other intellectual property and proprietary rights therein, together with all modifications, enhancements, derivatives, and improvements to any of the foregoing.

Nothing in these Terms transfers to you any ownership of the Service or any Polywei intellectual property. Except for your rights in Customer Data (Section 7), you receive no ownership interest of any kind. All rights not expressly granted to you in these Terms are reserved by Polywei. No license is granted by implication, estoppel, or otherwise.

The structure, organization, code, architecture, schematics, and documentation of the Service are Polywei's valuable trade secrets and confidential and proprietary information. You will not disclose them and will protect them at least as carefully as you protect your own confidential information.

5. License Grant and Restrictions

Subject to your compliance with these Terms and, where applicable, payment of fees, Polywei grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business purposes during the term of your access. This license terminates automatically when your access ends.

You will not, and will not permit any third party to:

  • copy, modify, translate, or create derivative works of the Service;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, schematics, algorithms, or trade secrets of the Service, except to the extent this restriction is prohibited by applicable law;
  • sell, resell, rent, lease, sublicense, distribute, host, or provide the Service to or for any third party, or use it on a service-bureau or timesharing basis, without Polywei's prior written consent;
  • access or use the Service to build, train, or improve a competing product or service, or to copy its features, functions, or user interface;
  • remove, obscure, or alter any proprietary notice, watermark, or attribution;
  • probe, scan, disrupt, or circumvent any security, licensing, metering, or access-control mechanism;
  • access another tenant's data, or use the Service in violation of any law or third-party right;
  • publish or disclose any benchmark, performance, or evaluation results without Polywei's prior written consent; or
  • use data obtained through the Service in a manner that violates the terms of the source it came from.

6. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Polywei a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use and incorporate it into the Service without restriction or obligation to you. Feedback is not your Confidential Information.

7. Your Data

You retain all rights to the data you submit to or connect with the Service ("Customer Data"). Customer Data does not include the Service, the software, or any metrics, insights, scores, models, schemas, aggregations, or analyses generated by the Service, all of which are governed by Section 4. You grant Polywei a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service, and to generate aggregated or de-identified data that does not identify you or any individual, which Polywei may use to operate and improve the Service. You are responsible for having the necessary rights and consents to connect each data source and to process the data it contains.

8. Subscriptions, Billing, and No Guarantee of Free Access

Paid plans are billed in advance on a recurring basis at the pricing presented at purchase. Plan features, limits, and metering are enforced by the Service and may be adjusted between billing periods with notice. Except where required by law, fees are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing period.

No entitlement to free or continued access. Any access provided at no charge — including free tiers, trials, beta, pilot, evaluation, promotional, enterprise-courtesy, or local/self-hosted deployments — is provided at Polywei's sole discretion and creates no entitlement to continued, free, or uninterrupted access. Polywei reserves the right, at any time and in its sole discretion, to introduce, increase, or change fees; to convert free or no-charge access to paid access on notice; and to condition continued use on acceptance of pricing. The absence of a charge at any point does not waive Polywei's right to charge in the future and does not fix the price at $0. Providing the Service without charge does not transfer ownership of the Service, grant any additional license, or constitute a perpetual or irrevocable right of any kind.

9. Availability; No Guarantee of Service

Polywei does not guarantee that the Service, any feature, module, data source, or deployment will be available, uninterrupted, error-free, or continued. Polywei may, at any time and in its sole discretion, modify, suspend, limit, or discontinue all or part of the Service, any edition (cloud, enterprise, downloadable, or local), or any data source, with or without notice, and without liability to you. Continued development, support, or maintenance of any edition is not guaranteed.

10. Enterprise, Self-Hosted, and Local Deployments

Where Polywei makes available an enterprise, downloadable, on-premises, or local edition of the software, or a bring-your-own-data-plane deployment, the following apply in addition to the rest of these Terms, and control in the event of conflict as to that edition:

  • The software is licensed, not sold. Possession of, access to, or the ability to run a local or downloadable copy conveys no ownership of the software, source code, schematics, models, or documentation, and no title of any kind. All such technology remains the exclusive property of Polywei.
  • The license is limited, non-exclusive, non-transferable, non-sublicensable, and revocable, and is granted for the customer's own internal use only for the authorized term. It does not permit distribution, hosting for third parties, or use beyond the licensed scope.
  • Deploying the software on infrastructure the customer controls does not make the customer the owner of the software or entitle the customer to the source code, build system, schematics, or internal documentation.
  • Polywei may require license keys, activation, telemetry, or periodic validation, and may disable or limit the software upon expiration, non-payment, or breach.
  • Making the software available in enterprise or local mode, whether or not for a fee, does not guarantee continued availability, updates, support, or any particular service level, and does not guarantee that the edition will remain free of charge.
  • Upon expiration or termination of the license, the customer must immediately cease all use and, at Polywei's direction, uninstall and destroy all copies of the software, documentation, and related materials in its possession or control (excluding the customer's own Customer Data), and certify such destruction on request.

11. Acceptable Use

You may not use the Service to violate any law or third-party right; to probe, disrupt, or circumvent security, licensing, or access controls; to access another tenant's data; to resell or redistribute the Service without our written consent; or to upload content that is unlawful or infringing. You may not use data obtained through the Service in a manner that violates the terms of the source it came from.

12. Third-Party Data Sources and Integrations

The Service aggregates data from third-party sources you connect (such as property-management systems, government open-data feeds, storage providers, and other integrations). Third-party data is provided "as is" from its source and may contain errors, omissions, or delays that Polywei does not control and cannot detect. Polywei is not responsible for the acts, omissions, availability, or data quality of any third-party service, and your use of a third-party service remains governed by that service's own terms.

13. Analytics, Metrics, and AI Features

Information presented in the Service may be aggregated from third-party sources and processed by automated and AI-assisted analytics, and may contain errors, omissions, or delays. Outputs of AI-assisted features are generated by statistical models and may be inaccurate, incomplete, or outdated even when presented confidently. All metrics, insights, scores, and analyses are provided for informational purposes only — as a guide, not a guaranteed source of truth. You are responsible for reviewing and validating any metric, insight, score, match, notification, or generated content before relying on or acting on it.

Compliance information is sourced from NYC Open Data and official city sources. Polywei is not responsible for reporting errors, missed or delayed violation notifications, or compliance outcomes. Verify all information with official sources (nyc.gov agencies) and applicable filing deadlines. Nothing in the Service constitutes legal, financial, tax, or other professional advice.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. POLYWEI DOES NOT WARRANT THAT DATA, METRICS, OR ANALYSES PRESENTED IN THE SERVICE ARE ACCURATE, COMPLETE, OR CURRENT, OR THAT THE SERVICE WILL BE AVAILABLE, SECURE, OR CONTINUED. NO ADVICE OR INFORMATION OBTAINED FROM POLYWEI CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYWEI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, MISSED DEADLINES, FINES, PENALTIES, OR COMPLIANCE OUTCOMES ARISING FROM OR RELATED TO THE SERVICE — INCLUDING RELIANCE ON DATA, METRICS, NOTIFICATIONS, OR ANALYSES IT PRESENTS — EVEN IF ADVISED OF THE POSSIBILITY. POLYWEI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO POLYWEI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). WHERE THE SERVICE IS PROVIDED AT NO CHARGE, POLYWEI'S TOTAL AGGREGATE LIABILITY IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100).

16. Indemnification

You will defend and indemnify Polywei against claims arising from Customer Data, your use of the Service in violation of these Terms, your infringement or misappropriation of Polywei's or any third party's intellectual property, or your violation of law or third-party rights.

17. Suspension and Termination

We may suspend or terminate access for material breach of these Terms, for non-payment, for actual or suspected violation of Sections 4, 5, or 10, or where required to protect the Service or comply with law. You may terminate at any time by cancelling your subscription and closing your workspace. Upon termination, all licenses granted to you end immediately, you must cease using the Service and comply with Section 10 for any local or downloadable edition, and we will make Customer Data available for export for a reasonable period before deletion. Sections 4, 5 (restrictions), 6, 8, 9, 13–16, 18, and 19 survive termination.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

19. Governing Law and Venue

Polywei is a Delaware corporation. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state courts located in Dutchess County, New York, and the United States District Court for the Southern District of New York, have exclusive jurisdiction over disputes arising from these Terms or the Service, and each party consents to personal jurisdiction and venue there and waives any objection to those forums as inconvenient. Nothing in this Section, and nothing in these Terms, transfers or licenses any Polywei intellectual property except as expressly stated in Sections 5 and 7.
